1. Unplex Terms of Use

Effective date: April 1, 2024

These Usage Conditions ("Conditions") constitute a legal agreement between you and Unplex Fintech Corp. ("Unplex", "we", "us", or "our") about your engagement with (including accessing) our services, as defined herein, which encompass the Website and additional Unplex resources. By enrolling in or utilizing our services, you consent to adhere to these Conditions. You agree to receive digital communications regarding our services. You confirm that you are at least eighteen (18) years old and possess the legal capacity to consent to these Conditions.

Furthermore, you agree to abide by our Privacy Policy, accessible at https://unplex.app/privacy-policy. We urge you to review these policies and all other pertinent agreements thoroughly. Certain services may be governed by supplemental terms and conditions communicated via the Service or other channels. These supplementary terms and conditions are integrated into these Conditions.

This document is divided into sections for comprehensive understanding, although headings are solely for convenience. Certain capitalized terms are explicitly defined in the glossary or elsewhere in these Conditions.

If modifying these Conditions diminishes your rights or amplifies your obligations, we will notify you 30 days in advance. We will notify you of such changes by posting them on our website at https://unplex.app and communicating through WhatsApp and email, whichever is suitable. Continued use of our services following any alterations to these Conditions signifies your acceptance of the revised terms. The "Last Updated" notation indicates the most recent amendment date of these Conditions. We reserve the right, without any liability, to alter or cease parts or the entirety of the Services (including access through third-party links), to impose, modify, or eliminate associated fees, or to extend the availability of the services, or certain aspects thereof, to a selection of or all users.

2. Definitions

For clarity in these Terms, the following terms are defined as:

Business Day: This refers to any day that is not a Saturday, Sunday, or a public holiday in the United States, during which financial institutions are operational.

Unplex Account: Your registered account on the Unplex website, created per these Terms, for accessing our services.

Unplex Materials: This includes all software, data, resources, content, and digital and physical documentation (like specifications and integration guides) created and provided by us, Cybrid or partner financial institutions or available for download from our Website.

Services: Encompasses the entire spectrum of products, services, content, functionalities, technologies, and features we offer, along with all associated websites, applications, and services (including the Website itself).

Unauthorized transaction: Occurs when funds are transferred from your Unplex account without your authorization and do not benefit you.

Website: Refers to any webpage, including but not limited to https://www.Unplex.app and our WhatsApp account, through which we deliver our services.

3. Utilizing Our Services

3.1 Setting Up an Unplex Account

To access some or all of our Services, you must establish an Unplex Account by submitting certain details. All information you provide during or after the signup process must be comprehensive, accurate, and truthful for legal compliance. You are obliged to keep your mailing address, phone number, and other contact details current in your Unplex account profile. We reserve the right to deny or discontinue the Services to any individual or entity at any point for any reason.

Activities conducted through an Unplex account are attributed to the account holder. You must use the Services solely for transactions on your account and not on behalf of others. Unless explicitly authorized by us, you can create only one Unplex account. Unplex will reject attempts to create multiple accounts for the same individual. In cases of duplicate accounts, Unplex has the discretion to close or consolidate these without prior notice.

3.2 Account Security Responsibilities

You, not Unplex, are responsible for securing and controlling all IDs, passwords, or other credentials to access your Unplex account and Services. Your Unplex account password and user ID should remain confidential. For your security, regularly update your password and keep it private. We will never request your password, either directly or through third parties. If anyone asks for your password or if you have security concerns, immediately report it to founder@unplex.app.

If you believe your Unplex account or its security details have been compromised, change your password immediately and contact us at founder@unplex.app. Compromised credentials could risk unauthorized access to your bank account and unauthorized transactions. To reduce potential losses, contacting us by phone is advised. Also, if your Unplex account shows transactions you didn't initiate, inform us promptly. Regularly review your Unplex account transactions and report any discrepancies or concerns. We may, but are not obligated to, suspend or limit your Unplex account if there are concerns about its security or potential unauthorized or fraudulent activities.

Ensure the security of your WhatsApp account, phone, and email, as these may be utilized for password resets or security communications regarding your Unplex account. Notify us immediately if your WhatsApp account, phone, or email is compromised. Avoid using features that store login details or passwords on your phone, computer, or browser. Note that additional Unplex products or services may have further security requirements, which we will communicate.

3.3 Account Verification Process

When you open an Unplex account and use certain services, federal law mandates Cybrid, our partner financial institution, to verify some of your information. You authorize Unplex and Cybrid to conduct necessary checks directly or through third parties to confirm your identity. This might involve checking commercial databases, credit reports, and other sources. We may request additional information, such as your date of birth, taxpayer identification number, address, and other details, to identify you reasonably. This could include steps to verify your ownership of your WhatsApp account, phone number, email, or financial instruments, requesting a credit report, or comparing your details with third-party databases, including government records. We may ask for your driver's license, passport, or other identification documents anytime. If we cannot verify this information, Unplex reserves the right to close, suspend, or restrict access to your account and services.

4. Utilizing Our services

4.1 Initiating Money Transfers

To send money within the country or internationally (following currency conversion), you must use the Automated Clearing House (ACH) pull direct debit by linking your bank account via Plaid. By opting to transfer funds using this method and providing your bank details, you affirm the accuracy of these details, confirm your authorization to transact from your bank account, assert that your account is in good standing with the holding financial institution, and declare your authority to conduct an electronic funds transfer for the specified amount.

By opting for the ACH pull direct debit and initiating a transfer, you permit us to debit your bank account electronically via the ACH network, including any applicable fees. This authorization will remain effective until it is revoked by these Terms.

We will process the transfer to your specified recipient once we receive your funds. While our policy supports immediate transfers following successful authorization, we reserve the right to withdraw this facility.

4.2 International Money Transfers

Our services include sending money to another country by converting local currency to a destination currency. International Money Transfer requests can be categorized as follows:

  • A fixed US dollar amount: You specify a certain amount of US dollars to be converted, so you or your recipient receive the equivalent in a foreign currency.
  • A fixed foreign currency amount: You request conversion of a variable amount of US dollars to ensure you or your recipient receives a predetermined amount in a foreign currency.

Your International Money Transfer request will be processed once we have received the corresponding funds from your linked bank account. We reserve the right to decline any International Money Transfer request at our discretion. Reasons for rejection may include discrepancies between your Unplex account and bank account details, incorrect recipient information, or insufficient funds in your bank account. While we generally aim to inform you of any rejections using your registered contact information and provide possible reasons and remedies for the rejection, we are not obligated to do so if such notification is prohibited by law.

Upon receiving your international money transfer request, we will confirm receipt via WhatsApp. Each transfer is given a unique transaction number, which can be found in the transaction history of your Unplex account. This number should be referenced when inquiring about a specific transfer.

4.2.1 Scheduled Transfers

For prearranged transfers, we will notify you 24 hours before the impending transfer, detailing total fees and the current estimated exchange rate. By scheduling a transfer, you consent to Unplex executing the transfer at the prevailing exchange rate at any time on the scheduled date. If you have chosen to receive notifications via WhatsApp, email, or text/SMS, we will send a receipt following the successful processing of your scheduled transfer.

4.2.2 Exchange Rate Information

We will communicate the exchange rate applicable to your international money transfer request at the time of the transaction.

4.2.3 Risks and Considerations for International Money Transfers

For international money transfers, Cybrid will convert your fiat currency into stablecoins like USDC or Bitcoin and then transfer them via blockchain to our partner in the recipient's country. The partner will then convert the cryptocurrency back into fiat currency and deposit it into the recipient's bank account, typically within seconds or minutes. Please be aware of the following considerations during the transfer:

  • Cryptocurrencies, including stablecoins, are not insured by any government entity, including the FDIC.
  • The crypto exchanges involved may be vulnerable to cyberattacks and technical failures, potentially leading to the loss or theft of cryptocurrency. Recovery of lost or stolen crypto may not be possible for you, Unplex, or Cybrid.
  • Cryptocurrencies are not regulated by central banks, which means no corrective measures are in place to protect their value during a crisis.
  • Legal changes affecting cryptocurrency can occur suddenly and without notice, potentially impacting the ability to draw value from transactions.
  • Cryptocurrencies are not legal tender and are not backed by any government.
  • The value of cryptocurrencies depends on their continued acceptance by the market. Loss of confidence could severely diminish their value, potentially leading to total loss if the market collapses.

5. Cancellation of transfers

You may cancel your transfer request through WhatsApp for a full refund either until a) we await the recipient's bank account details or b) within 30 minutes of payment, provided the funds have not been picked up. If cancelled within this timeframe, we will issue a refund within three (3) business days. After 30 minutes, refunds are generally not issued, except under exceptional circumstances where refunds are processed within four (4) business days, assuming the funds have yet to be collected or deposited into the recipient's account. We will stop pending charges to your linked bank account if you cancel. However, if we have already initiated the transfer with your financial institution before receiving your cancellation, we may still charge your linked bank account, but you will receive a refund within four (4) business days after we receive the funds from your financial institution.

Refunds are credited to the same bank account used for the transaction in the original currency ("Send Currency"). The refund amount will reflect the exact amount sent without adjustments for any fluctuations in currency value.

Cancellations must be made via WhatsApp. If you cannot cancel through WhatsApp, email us at founder@unplex.app with details such as your name, address, phone number, recipient's name, the amount transferred, and destination location to facilitate the cancellation.

6. Fees

A fee (the "Fee") is typically charged for sending money to a recipient. Occasionally, we run promotions or special deals (each a "Promotion") where the Fee is reduced or waived. Your eligibility for any promotion is at Unplex's discretion and may be subject to additional terms and conditions. The exchange rate specified may also vary, particularly during promotional periods. You agree to pay the Unplex Fee using your bank account or as otherwise agreed upon. The Fee is applied at the time of transaction initiation. This Fee does not cover any additional charges your bank or the recipient's bank may levy, which may be deducted from the transferred amount. You are also responsible for any applicable taxes on transactions made or received, and you must report and pay these taxes to the relevant tax authority.

7. Access to Unplex Account Statements and Transaction Records

You are entitled to receive statements detailing the activities in your Unplex account. Access your account statements by logging into your Unplex account via WhatsApp. The "Transaction History" section will list all your transactions, including any money sent, fees incurred, and applicable exchange rates.

Log into your account for details on each transaction, including conversion rates and promotions. Each transaction is assigned a unique identification number to reference when inquiring about specific transfers.

8. Closing your Unplex account

You can end these Terms and close your Unplex account anytime by selecting that option in WhatsApp with Unplex or emailing founder@unplex.app. Closing your account to evade an ongoing investigation is not advisable, as we may retain your funds until the investigation concludes. You remain liable for all activities conducted through your account until it officially closes.

8.1 Unplex can close your Unplex account

Unplex reserves the right to suspend or terminate your account or access to our services at any time, for any reason, with notice. Potential reasons for account closure include but are not limited to, violations of these Terms, legal or regulatory requests, suspicion of fraudulent or illegal activities, or security concerns. If your account is suspended or terminated, we will inform you. You are responsible for any fees, fines, or penalties incurred due to violations or misuse of the services and must compensate Unplex or any affected parties.

9. Communication Methods

Unplex will engage with you electronically regarding your account and services as outlined in our terms available at Unplex Terms. Electronic communications are deemed received 24 hours after posting on our Website, via WhatsApp, or emailing to you. If sent by mail, communications are considered received three business days after dispatch.

We primarily use WhatsApp to contact you, so keeping your phone number updated in your Unplex account is crucial. Regularly check your messages, as they may contain important information and links. We are not liable for any loss resulting from your failure to maintain or check your communications. Besides WhatsApp, we may also use email, postal mail, or phone calls, and where mobile services are utilized, communications may include SMS. Communications via SMS, email, or WhatsApp are regarded as received on the day they are sent.

10. Handling Issues and Disputes

If you initiate a payment that is subsequently reversed or invalidated, you are accountable for the full amount of the payment plus any fees, including potential chargeback fees. Unplex will issue a refund or reverse the transaction in your account if a payment is voided due to the following:

  • Our investigations identified fraudulent transactions.
  • Errors in charging by Unplex.
  • Unauthorized charges.
  • Charges made in violation of our Terms or any other agreement with Unplex.

10.1.2 Chargeback Fees

In cases where a chargeback is requested on an ACH-funded transaction in your Unplex account, Unplex may impose a chargeback fee to manage the process and recharge this Fee to your bank account.

10.2 Negative Account Balances

Should your Unplex account exhibit a negative balance for reasons including but not limited to reversals or chargebacks, you must settle the amount immediately. Unplex reserves the right to deduct the owed amounts from future transactions or take additional recovery actions, such as employing debt collection services or legal proceedings. We may also convert the owed amount into US dollars for recovery purposes.

10.3 Troubleshooting

Accuracy in the information you provide for money transfers or currency conversions is crucial, as transfers cannot generally be reversed. If you identify an error or issue with a transfer, report it to Unplex at founder@unplex.app within 180 days from the notification date of the transfer. Provide as much of the following information as possible:

  • Your name and address
  • Description of the error or issue and why it's considered erroneous
  • Recipient's name and contact details, if available
  • Amount and currency of the transfer
  • Transfer identification number

11. Errors in Transfers

11.1 Identifying Errors

Errors in transfers for personal, family, or domestic purposes may include:

  • Incorrect payment amounts were sent.
  • Computational errors by Unplex affecting the amount the recipient receives.
  • The specified amount is non-available to the recipient unless extraordinary circumstances are beyond our control.
  • Delays in fund availability past the disclosed date, except those caused by unforeseen extraordinary circumstances, regulatory requirements, or fraudulent activities.
  • Absence of a transfer in our transaction records or lack of transfer confirmation.

11.2 Response to Errors

If you suspect an error, contact us immediately, and we will investigate. We aim to resolve inquiries within 90 days, typically responding within ten (10) business days. We'll inform you of our decision within three (3) business days of concluding our investigation. If no error is found, we'll provide a detailed explanation. If an error is confirmed, options include a refund or making the necessary funds available to the recipient.

11.3 Non-refundable Fees

Fees are only refundable if Unplex fails to make funds available on the specified date, except in cases where you provided inaccurate or insufficient information.

11.4 What is not an error

  • Unauthorized use of your Unplex account if login information is shared.
  • Revoked or invalidated transfers.
  • Routine account balance inquiries, requests for duplicate records, or status updates on currency conversions unrelated to error claims.
  • Changes made by the recipient affecting the transfer.
  • Discrepancies are due to incorrect information you provided.
  • Delays from Unplex's risk management actions, regulatory holds, or reviews of high-risk transfers.
  • Errors in entry by the sender or delays caused by external parties like banks.

12. Restrictions on Use

You are permitted to use our services solely for lawful purposes. Specifically, you must not use our services:

  • In violation of any local, national, or international laws or regulations or in any manner that causes Unplex to violate applicable laws or regulations.
  • For any unlawful or fraudulent activities or with the intent to harm or deceive.
  • To harm or attempt to harm minors in any way.
  • To transmit abusive, harmful content or content that fails to meet our standards.
  • To distribute unsolicited or unauthorized advertising, promotional materials, or spam.
  • To transmit or distribute harmful software such as viruses or spyware that may damage computer software or hardware.
  • To evade or facilitate the evasion of any applicable taxes, locally or internationally.

12.1 Prohibited Business Types and Transactions

Our services do not support certain types of businesses and transactions, and attempting to use our services for these purposes may result in service denial. This includes, but is not limited to:

  • Regulated or illegal products and services such as adult content, alcohol, tobacco, cannabis, controlled substances, drug paraphernalia, pharmaceuticals, chemical products, counterfeit goods, gambling, or any product or Service illegal in its jurisdiction.
  • Financial and professional services like binary options, unlicensed financial operations, money service businesses, and trading platforms.
  • Other restricted activities include IPTV and VOIP services, dealings with sanctioned individuals/entities/countries, military goods and services, non-profit organizations and unregistered charities, trusts and foundations, endangered species, and schemes like multi-level marketing or pyramid schemes.

This list is representative and not exhaustive; Unplex reserves the right to refuse Service to anyone beyond these examples based on risk assessment.

13. Protection Against Unauthorized Transactions

To safeguard your Unplex account from unauthorized activity, frequently review your account activities and transaction list via WhatsApp. Unplex will send notifications for each transaction to your registered WhatsApp to ensure you know all account activities.

13.1 Reporting Unauthorized Transactions

An unauthorized transaction refers to money sent from your Unplex account without your consent, which does not benefit you. If you suspect such activity, possibly due to compromised account details, immediately contact us via https://unplex.app or email at founder@unplex.app.

13.2 Responsibilities and Notifications

It's crucial to inform us within 30 days of receiving your Unplex account statement if it includes unauthorized transactions. Prompt reporting qualifies you for complete protection against unauthorized transactions. Delayed reports might limit our ability to fully reimburse you, except in cases where extenuating circumstances like hospital stays or long trips prevented timely notification.

14. Complaints Handling

If you have questions or complaints regarding our services, please contact us at https://unplex.app or email founder@unplex.app. Please be mindful that communications via email and WhatsApp may not be secure.

15. Ensuring Information Security

You are responsible for securing access to our services, including using virus protection software. Do not introduce harmful software or attempt unauthorized access to our services. Any breach of these security guidelines could lead to legal action and termination of service access.

16. Third Party Materials

Our services may incorporate or offer access to third-party materials. We do not control or endorse these materials and are not responsible for their legality or accuracy. Your use of third-party materials is subject to their specific terms and at your own risk.

17. Legal Rights and Responsibilities

17.1 Indemnity and Limitations

You agree to defend and indemnify Unplex and its affiliates against any claims related to your use of the services. Our liability for damages is limited to the direct damages we cause and is capped at the amount you have paid us.

17.2 Arbitration and Governing Law

Disputes arising under these terms will be resolved through arbitration, as per the rules of the American Arbitration Association, except where prohibited by law. Delaware law governs these terms without regard to its conflict of laws provisions.

17.3 Modifications and Interpretations

These terms represent the entire agreement between you and Unplex regarding the services. They supersede any prior agreements or understandings not incorporated here. We may modify these terms as needed, with continued use of the services constituting acceptance of the new terms.
