Unplex is a company incorporated in Delaware. We are not licensed as a money transmitter in the United States.

Mozrt Inc., Nuvei Technologies Inc. and Fresno First Bank power Unplex's payment services in the US. Mozrt's program is sponsored by Stearns Bank, an FDIC-insured national bank regulated by the US Office of the Comptroller of the Currency, to which Mozrt is a service provider. Funds held at Mozrt are subject to deposit insurance offered by the Federal Deposit Insurance Corporation (“FDIC”).

The Services allow you to send money transfers from the USA to your friends residing in the USA and selected countries. We retain the sole discretion to refuse to accept any user or to complete any instructions to send or receive using your Unplex account at any time.

1. Overview

When you use Unplex, you trust us with your personal data. We’re committed to keeping that trust. That starts with helping you understand our privacy practices. This notice describes the personal data (“data”) we collect, how it’s used and shared, and your choices regarding this data. We recommend that you read this along with our privacy overview, which highlights key points about our privacy practices.

2. General Conditions & Termination

No joint venture, partnership, employment or agency relationship exists between you, Unplex, Unplex Group Entities or any Third Party as a result of the contract contained in these Terms of Use. If any provision of these Terms of Use is held to be illegal, invalid or unenforceable, in whole or in part, under any law, such provision or part thereof shall to that extent be deemed not to form part of these Terms of Use but the legality, validity and enforceability of the other provisions in these Terms of Use shall not be affected. In that event, Unplex shall replace the illegal, invalid or unenforceable provision or part thereof with a provision or part thereof that is legal, valid and enforceable and that has, to the greatest extent possible, a similar effect as the illegal, invalid or unenforceable provision or part thereof, given the contents and purpose of these Terms of Use.

3. Use and Protection of Intellectual Property Rights

Unplex, Unplex Website, Unplex logos and the Unplex Services are protected by copyright, trademarks, patents, trade secret and/or other intellectual property laws. No information, content or material from the Unplex App including, without limitation, all of the page headers, images, illustrations, graphics, audio clips, video clips or text, reports generated, trademarks, tradenames may be copied, reproduced, republished, uploaded, posted, transmitted or distributed in any way without Our express written permission. You are hereby given a limited licence to use the Unplex App and the Unplex Platforms, subject to your agreement of these Terms of Use. Unplex, and its licensors, if any, are the sole owners of the underlying software and source code associated with the Unplex App and Unplex Platforms as well as any other intellectual property rights of any other nature associated with the Unplex Platforms.

4. Violation of Terms of Use / Suspicious Activity

If We believe that you have violated any of the conditions as mentioned under these Terms of Use, our Privacy Policy, Supplemental Terms applicable to certain services or any agreements consented to Unplex, we reserve the right to suspend your access to the Unplex and/or delete your account without prior notice to You. If We have reason to believe that there is suspicious or unusual activity being carried out through your account, we may temporarily or permanently suspend your access to the Unplex Services. If we suspect that any feature, offer or reward promotion is being availed by You in a manner (i) that is disingenuous (for example: placing orders without intending to take delivery or intending to subsequently cancel all or substantially all of them); (ii) that it is not intended to be availed; (iii) that purports to artificially increase (or decrease) your transaction volume or usage of the App (for example: paying rent or credit card bills by breaking them down into numerous smaller transactions); (iv) that is intended to cause losses or other harm to Commercial Partners, Unplex reserves the right to reverse the relevant transaction, suspend the account or restrict you from using the App in its entirety or any specific feature(s) thereof. You may reach out to our support team to assist you with any query or question arising as a result of the aforementioned suspension/ deletion.

5. Disclaimer

The Unplex Services, including all content, software, functions, material, and information made available or accessible through the Unplex Platform are provided “as is”. Unplex and their respective agents, co-branders or partners, make no representation and warranty of any kind for the content, software, functions, material, and information available/accessible through the Services. Unplex does not warrant that the functions contained in content, information and materials on the Unplex WhatsApp Bot, including, without limitation any third-party sites or services linked to the payment portal will be uninterrupted, timely or error-free, that the defects will be rectified.

6. Governing Law and Jurisdiction

The Unplex Services, all your transactions with the Unplex App, and our relationship shall be governed by the laws of India, USA, Canada etc, without regard to conflict of law principles. You agree that subject to the Disputes & Arbitration Clause above, all claims, differences and disputes which we may have shall be subject to the exclusive jurisdiction of the competent global courts.

8. Prohibited activities

You may use our services for lawful purposes only. You may not use our services: • in any way that violates any applicable local, national or international law or regulation, or causes Unplex to breach any applicable law or regulation; • in any way that is unlawful or fraudulent, or has an unlawful or fraudulent purpose or effect; • for the purpose of harming or attempting to harm minors in any way; or anything that is abusive, harmful, or does not meet our content standards; • for any unsolicited or unauthorized advertising, promotional material or any other form of spam; • to deal with harmful programs such as viruses, spyware or similar computer code designed to adversely affect the operation of any computer software or hardware; • in any way that could evade locally or internationally any applicable tax or facilitate tax evasion.

9. Information security

You are responsible for configuring your information technology, software and platform to access our services. You must use your own virus protection software. You must not misuse our Services by introducing viruses, Trojan horses, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorized access to the Services, our Website, our servers, computers, or databases. You must not attack the services, including through WhatsApp or our website, with any type of denial of service attack. By violating this provision, you would commit a crime under applicable law, including the Computer Fraud and Abuse Act (18 USC § 1030). We may report any breach to the relevant law enforcement authorities and we may cooperate with those authorities by disclosing your identity or other information to them. In the event of such a breach, your right to access and use our website and/or our services will immediately cease without notice, and you must immediately cease such access and use.

You authorize your wireless carrier to use or disclose information about your account and your wireless device, if available, to Unplex or its service provider for the duration of your business relationship, solely to help them identify you or your wireless device and to prevent fraud. Certain features of WhatsApp and the Website may make available access to information, products, services and other materials made available by third parties (“Third Party Materials”), or allow the routing or transmission of such third party materials, including through of links. By using such functionality, you are directing us to access, route, and transmit the applicable third-party materials to you. We do not control or endorse, and are not responsible for, any Third Party Materials, including the accuracy, validity, timeliness, completeness, reliability, completeness, quality, legality, usefulness, or safety of the Third Party Materials, or any intellectual property rights contained therein. Certain third party materials may, among other things, be inaccurate, misleading or misleading.
